R&D Agreements
- Standards are more flexible and exploratory, as outcomes are uncertain.
- Quality is assessed by adherence to methodology, effort, and compliance (e.g., ethical research practices, regulatory requirements), rather than guaranteed success.
Implication: Service agreements often assess quality by reference to whether agreed standards have been met. In R&D arrangements, quality is more often assessed by reference to process integrity, methodology, and the management of uncertainty.

4. Consequences of Meeting or Failing Standards
Service Agreements
- Meeting standards → payment, renewal, and client satisfaction.
- Failing standards → may give rise to breach, service credits, termination rights, financial consequences, or disputes, depending on the contractual framework.
R&D Agreements
- Meeting standards → advancement of knowledge, potential IP ownership, and commercialization opportunities.
- Failing standards → may not amount to breach where the agreed methodology, diligence, and reporting obligations have been met; however, consequences can still include funding withdrawal, re-scoping, termination, or liability where specific contractual obligations were not satisfied.
Implication: Service failures more readily trigger contractual remedies tied to performance standards, whereas in R&D arrangements the consequences of failure often depend on whether the agreed process, diligence, and milestone obligations were satisfied.

For Service Agreements:
- Define clear KPIs and SLAs.
- Include penalty clauses for non-performance.
- Ensure insurance coverage for liability.
For R&D Agreements:
- Establish realistic milestones and flexible deliverables.
- Clarify IP ownership and confidentiality.
